Climate Change Institute Sponsorship Terms and Conditions
1. PARTIES TO THIS AGREEMENT
1.1 CCI: The Climate Change Institute (herein called CCI) is an organization dedicated to climate change advocacy. The name “Climate Change Institute” is registered company name by the Australian Securities and Investment Commission (ASIC) to Clear Fountain Pty Ltd ACN 131 065 051.
1.2 Sponsor: This will be the nominated Company/Organization Name
2. PURPOSE
2.1 Sponsorship: The Sponsor agrees to provide financial support to CCI in exchange for sponsorship benefits outlined in this agreement.
3. SPONSORSHIP DETAILS
3.1 Sponsorship Level: The Sponsor will participate at the Sponsorship Level they have nominated.
3.2 Financial Contribution: The Sponsor agrees to provide CCI with a dollar amount as the sponsorship contribution, payable in various payment terms, e.g., monthly installments, which may be subject to change from time to time.
4. SPONSORSHIP BENEFITS
4.1 Recognition: CCI will recognize the Sponsor’s support in accordance with the Sponsorship Level they have selected.
4.2 Promotional Materials: CCI will grant the Sponsor the rights to use the CCI logo and images for promotional materials, including for use in promoting the sponsorship.
4.3 Acknowledgment: The Sponsor will be acknowledged on CCI’s website and social media sites. CCI will not be responsible if any information supplied is not accurate, complete or current.
4.4 Carbon Offsets: The Institute will supply the Sponsor with a number of Carbon Credit Offset Certificates, from an internationally recognize registry, at a level determined by which sponsorship plan is selected.
5. TERM AND TERMINATION
5.1 Term: This agreement shall commence on the Effective Date and continue for a term of one calendar month, unless otherwise specified. The Sponsor can elect to renew their sponsorship subscription each month, and pay their fees, in which case this agreement will be renewed, subject to any modifications, including the price of the subscription. CCI reserves the right to modify or discontinue this agreement.
5.2 Termination: A Sponsor may elect, for any reason whatsoever, not to renew their sponsorship and provided they give sufficient notice they will no longer be charged any more fees. Either party may terminate the sponsorship agreement at the end of the period for any reason whatsoever. In the event of termination, the Sponsor’s financial contribution shall not be refunded. The sponsor agrees that they shall remove all logos and any content associated with the CCI from any and all of their business including printed matter, website, merchandise and the Sponsor hereby agrees that they will be liable for any expenses incurred by CCI enforce this agreement and protect their IP.
6. CONFIDENTIALITY
6.1 Confidentiality: Both parties agree to keep any confidential information obtained during the term of this agreement confidential and not to disclose it to any third party.
7. GENERAL PROVISIONS
7.1 Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, written or oral, concerning the subject matter hereof.
7.2 Governing Law: This agreement shall be governed by and construed in accordance with the state and federal laws of Australia.
7.3 Amendments: Amendments to this agreement may be made from time to time. A large component of sponsorship fees include the provision of carbon offsets which are subject to global price fluctuations.
8. AUTHORISATION
By submitting a payment and any other forms the Sponsor is agreeing to these terms and conditions. This sponsorship agreement shall become effective as of the Effective Date, which shall be date payment is received. It shall be deemed to be renewed periodically when the sponsorship subscription fees are paid.
